The US-Thai Treaty of Amity (1966) allows US citizens (individuals or US corporations) to majority/100% own most Thai businesses without an FBL — except 7 restricted activities (communications, transportation, fiduciary, banking, land, domestic agriculture trade, natural resource exploitation). Requires a Treaty Certificate from the US Embassy + DBD registration.
Registration steps
- 1Verify US person status
Majority shareholder must be US citizen or US Corporation (incorporated in the US, ≥ 50% US-owned). Prepare passport + Certificate of Good Standing.
- 2Incorporate Thai Limited
Form Thai Limited (recommend 2M THB capital per work permit), with the US person as majority shareholder.
- 3Obtain Treaty Certificate from US Embassy
File with the Commercial Service at the US Embassy in Bangkok to certify US person status (2-3 weeks).
- 4Register Treaty status at DBD
Submit Treaty Certificate + company docs to DBD to obtain the Treaty registration certificate (15-30 days).
- 5Begin operations + Work Permit
Conduct any business (except the 7 restricted) + apply for Non-B visa + Work Permit at 4:1 Thai-hire ratio.
